Throughout these Terms & Conditions, the following terms carry the meanings set out below:
- "Agreement" refers to these Terms & Conditions as amended from time to time, together with any engagement letter or service agreement entered into between the firm and a client.
- "We," "Us," or "Our" refers to Sukhothai Counsel, a family law practice registered and operating in Bangkok, Thailand.
- "Service" means the family legal services offered by Sukhothai Counsel, including consultations, agreement drafting, and mediation representation.
- "User" or "Client" refers to any individual who accesses this website or engages Sukhothai Counsel for services.
- "Content" refers to text, graphics, documents, and other materials published on this website or provided in the course of service delivery.
- "Website" refers to the online presence operated by Sukhothai Counsel at

By accessing or using this website, submitting a contact enquiry, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.

If you are acting on behalf of a third party — for example, as a representative or guardian — you confirm that you have the authority to bind that party to these terms.

Service Description
Sukhothai Counsel provides family law services to clients in Thailand and, where appropriate, clients based overseas with matters governed by Thai law. Our services include:
- Initial Family Matter Consultations, structured as a single confidential session with a written summary provided to the client.
- Marriage Agreement Drafting, encompassing pre-marital and post-marital financial and property arrangements.
- Family Dispute Mediation Representation, covering client preparation, attendance at mediation, and settlement agreement drafting.
Service availability is subject to practitioner capacity and the nature of the matter. We do not operate as a 24-hour service; enquiries submitted outside business hours will be addressed on the next working day.

User Responsibilities
In using this website and our services, you agree to the following:
- You will provide accurate and complete information when submitting enquiries or engaging our services.
- You will not misrepresent your identity, circumstances, or authority to act.
- You will not use this website or our services for any purpose that is unlawful or contrary to the interests of third parties.

Payment Terms
Service fees are as follows, denominated in Thai Baht (฿):
Payment terms, accepted methods, and any applicable instalment arrangements will be confirmed in your engagement letter. Fees are generally payable in advance of or at the commencement of each service stage.
Where a matter concludes earlier than anticipated, we will advise whether any adjustment to fees is appropriate. We do not offer refunds once a session has been attended or work has commenced, except in circumstances of demonstrable error on our part.

Service-Specific Terms
The following terms apply to each of our core services:
Consultations
The initial consultation is a single, structured session. It does not create an ongoing retainer or solicitor-client relationship unless a separate engagement letter is entered into. The written summary provided is for the client's personal reference and does not constitute a legal opinion in the formal sense.
Agreement Drafting
Drafting services are provided on the basis of the information each party discloses. The scope of work is set out in an engagement letter agreed before commencement. Material changes to instructions once drafting has begun may affect the timeline and the fee.
Mediation Representation
Our representation in mediation proceedings is subject to the procedural rules of the relevant mediation forum. We will advise clients honestly on the strengths and limits of their position throughout the process. Settlement is never a certainty, and we make no representation about the outcome of any mediated matter.

Limitation of Liability
To the extent permitted by Thai law, Sukhothai Counsel's liability for any claim arising from use of this website or provision of services is limited to the fees actually paid by the client for the relevant service.
We are not liable for indirect, consequential, or incidental loss arising from reliance on website content, from a client's decisions made independently of our advice, or from circumstances outside our reasonable control.
Nothing in these terms excludes liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded under applicable Thai law.

Indemnification
You agree to indemnify and hold Sukhothai Counsel harmless from any claims, costs, or liabilities arising from your use of this website in a manner that breaches these terms, from information you provide that is materially inaccurate or misleading, or from your violation of any applicable law or third-party right in connection with your engagement with us.

Termination
Either party may bring an engagement to a close by written notice, subject to the terms of any engagement letter in force. Where a client chooses to withdraw from an engagement mid-way, fees for work already undertaken remain payable.
We may decline to continue an engagement where a client's instructions require us to act in a manner inconsistent with our professional obligations, or where a conflict of interest comes to light that cannot be managed appropriately.
Provisions of these Terms relating to intellectual property, liability, indemnification, and dispute resolution will survive the termination of any engagement.

Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from these terms or from an engagement with Sukhothai Counsel is subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
Before initiating any formal proceedings, we ask that you contact us directly to allow an opportunity to resolve the matter informally. Most disagreements can be addressed through open communication, and we approach such situations with the same care we bring to our client work.
Where informal resolution is not achieved, either party may refer the matter to mediation before the Thai Arbitration Institute or a mutually agreed mediator, as a step prior to litigation.

General Provisions
- Entire Agreement. These Terms, together with any engagement letter provided to a client, constitute the entire agreement between the parties in relation to the subject matter and supersede any prior understanding or correspondence.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms on a given occasion does not constitute a waiver of that provision or of our right to enforce it subsequently.
- Assignment. Clients may not assign their rights under these Terms or under an engagement without our prior written consent. We may, where appropriate, assign our obligations to a suitably qualified practitioner.
- Notices. Formal notices under these Terms should be sent to the address or email set out in the Contact section below.

Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, applicable law, or our operating practices. Where changes are material, we will update the "Last Updated" date shown at the top of this page.
Your continued use of this website following any update constitutes your acceptance of the revised Terms. We encourage you to review this page periodically if you make regular use of our services.
